Cancellation of Power of Attorney: Format, Notice and Limits

Cancellation of power of attorney format explained: how to draft a revocation deed, who to notify, registration steps and why a phone call does not revoke authority.

An elderly father in Lucknow gave his son a general power of attorney eight years ago to manage a shop. The son mortgaged the shop, diverted the rent and stopped answering calls. The father tells the family lawyer he "cancelled it verbally" and believes the matter is closed. It is not. Until the revocation is in writing and reaches the people who rely on the authority, the son can keep signing documents that bind his father.

Revocation is not an emotion or a family decision. It is a legal act with a format, a delivery requirement and, in property matters, a registration step. This guide sets out the cancellation of power of attorney format in practical terms: what the deed must contain, how to serve notice, what to do when the attorney refuses to return the original, and the situations where cancellation is not as simple as it looks.

What revocation means in Indian law

A power of attorney creates an agency, and an agency can be terminated by the principal. Section 201 of the Indian Contract Act 1872 lists the ways an agency ends, and revocation by the principal is one of them. Section 206 adds an important qualification: where the agent has himself an interest in the subject matter of the agency, the agency cannot be revoked to the prejudice of that interest. A POA given to a buyer as security, or to a lender under a development agreement, may fall in that category.

For an ordinary family POA over a flat or a shop, revocation is straightforward. For a POA that is part of a commercial arrangement — a joint development agreement, a loan, a franchise — read the underlying contract before you revoke. Cancelling the POA may itself be a breach of that contract.

Key takeaway: Revocation takes effect against the attorney when they learn of it, and against third parties when they learn of it. A registered revocation deed plus written notice to every institution holding the POA is the only reliable way to close the door.

Cancellation of power of attorney format: what the deed must contain

The instrument is usually titled "Deed of Revocation of Power of Attorney". It is executed by the principal, not by the attorney, and it should identify the original POA with enough precision that there is no confusion about which document is being cancelled.

  • Title — "Deed of Revocation of Power of Attorney" or "Cancellation of Power of Attorney".
  • Date and place of execution.
  • Principal's details — full name, age, address, identity references.
  • Attorney's details — full name and last known address.
  • Reference to the original POA — date of execution, date of registration if registered, registration number and office, and the names of the attesting witnesses if available.
  • Recital of the purpose — why the authority was granted and why it is now being withdrawn. Keep it factual; avoid accusations that may be read as defamation.
  • Operative clause — "I hereby revoke, cancel and withdraw the said power of attorney with immediate effect, and all authority conferred by it stands terminated."
  • Direction to return documents — a clause requiring the attorney to return the original POA and all papers, title deeds, keys and bank instruments held under it within a stated number of days.
  • Notice clause — a statement that a copy of the revocation is being served on the attorney and on named institutions.
  • Indemnity and reservation — a reservation of the principal's right to recover losses caused by acts done outside the authority, and to take legal action.
  • Signature, two witnesses, notarisation, and registration where the original POA was registered or where the state requires it.

Serving notice: the step most people skip

A revocation deed in a drawer changes nothing. The attorney must be told, and so must every bank, society, sub-registrar, tenant and authority that has seen the original POA. Send the notice by registered post with acknowledgement due and by courier, and keep the receipts. Email to the attorney's known address is useful evidence but is not a substitute for the statutory mode of service if the matter goes to court.

The notice should be short and factual: identify the POA, state that it is revoked with effect from a date, demand return of the original and of any property documents, and warn that any further act will be treated as unauthorised. Do not negotiate in the notice. Do not allege fraud unless you have evidence. A notice that reads like a family quarrel is easy to attack; a notice that reads like a legal document is hard to ignore.

Registration of the cancellation

If the original POA was registered, the revocation should also be registered. The sub-registrar's office maintains an index by executant and by document number; a registered revocation creates a public record that a buyer, bank or registrar can find during due diligence. Where the original POA was not registered but the state requires registration for POAs used in property transactions, register the revocation anyway — it is cheaper than litigating later.

Registration does not, by itself, invalidate acts already done. If the attorney sold the property before the revocation was registered and the buyer acted in good faith without notice, the sale may stand. The revocation protects you going forward; it does not rewind the past. That is why speed matters more than perfection in the first week.

When the attorney will not return the original

This is common, and it frightens principals more than it should. The original POA is not a title deed. It is evidence of authority, and once revoked it is evidence of authority that no longer exists. What matters is that the institutions which might rely on it have notice. Send the revocation to the bank branch that holds the account, to the society secretary, to the tenants, and to the sub-registrar. Ask the bank in writing to flag the mandate and to require the principal's personal instructions for any withdrawal.

If the attorney uses the revoked POA to execute a document after notice, the transaction is vulnerable. The principal can seek cancellation of the document, an injunction against further dealings, and recovery of losses. The Specific Relief Act 1963 provides for cancellation of instruments and for injunctions, and a civil suit can be filed in the court where the property is situated. Move quickly; delay makes it easier for the other side to argue that the buyer was a bona fide purchaser without notice.

Revocation by operation of law

Some events terminate a POA without any deed. The death of the principal ends the agency. So does the principal becoming of unsound mind, or being adjudicated insolvent. The death or incapacity of the attorney also ends it. If the POA was given by two or more principals jointly, the termination by one may affect the whole, depending on the terms. These events are not always known to third parties, which is why institutions ask for fresh confirmation before acting on an old POA.

A POA can also be revoked by the principal's subsequent inconsistent act — for example, selling the property personally. But relying on an implied revocation is risky. If you sell the flat yourself, execute an express revocation the same week. The cost of a deed is trivial compared with the cost of proving that the attorney knew the authority had ended.

Cancelling a POA held by a relative: a sequence that works

Family POAs fail for emotional reasons as much as legal ones. The principal delays because confronting a son or brother feels disloyal; the attorney reads the delay as permission. A sequence that removes the argument is to fix the date first, execute the deed on that date without further discussion, and only then inform the family. The deed is a fact, not a negotiation.

Start with the institutions that can move money: the bank branch, the demat account, the society and any tenant. Ask each in writing to record the revocation on the mandate and to deal only with the principal personally. Then serve the attorney. If the attorney holds title documents, list them in the notice by description and demand return within seven days. If they are not returned, file a police complaint for retention of documents and a civil suit for recovery and injunction. Keep the tone procedural throughout; the paper trail is what a court will read, not the family history.

Frequently asked questions

Is a cancellation of power of attorney format available online valid?

A template can be a useful starting point, but a POA is revoked by reference to the specific original document. The revocation must identify the date, registration number and office of the POA being cancelled. A generic form without those details is easy to challenge and may not be accepted for registration.

Can a POA be cancelled without the attorney's consent?

Yes. Revocation is a unilateral act by the principal. The attorney's consent is not required. What is required is that the attorney be informed, because the authority continues to bind the principal as against an attorney who acts without knowledge of the revocation.

Does cancellation need to be registered?

It is not always mandatory, but it is strongly advisable, and in many states a revocation of a registered POA must be registered. Registration creates a searchable record that protects you against a later buyer or lender claiming they did not know the authority had ended.

What if the attorney has already sold the property?

If the sale was completed within the authority granted and before the buyer had notice of revocation, the sale may be valid. If the attorney acted beyond the authority, or after notice, the principal can challenge the sale and seek cancellation of the deed. Consult a lawyer immediately; the remedy depends on the facts and on how the sale was registered.

Can a POA given for consideration be revoked?

Where the attorney has an interest in the subject matter, the agency is coupled with interest and cannot be revoked to the prejudice of that interest. This arises in development agreements and mortgage arrangements. Read the underlying contract before issuing a revocation, or you may face a claim for breach.
