Rent Agreement Format in India: Clauses Most Landlords Miss

A practical rent agreement format in India with the clauses landlords forget: deposit forfeiture, escalation, maintenance, notice periods and stamp duty rules.

The tenant has lived in your flat for fourteen months. The eleven-month agreement expired, nobody renewed it in writing, and now he says he needs two months to vacate. You discover the agreement never said what happens after expiry, never set out who pays the society maintenance, and never mentioned the notice period after the term ends. The deposit is with you, but so is the argument about how much of it he gets back.

Most residential tenancies in India do not fail because the rent was too high. They fail because the agreement was a two-page form downloaded from a stationery shop. This guide gives you a working rent agreement format india landlords and tenants actually use, clause by clause, with the points that cause disputes and how to draft around them.

What a rent agreement is, and what it is not

A rent agreement is a contract of tenancy. It creates a monthly or periodic tenancy, transfers the right of occupation for a term, and records the rent, the deposit and the obligations of each side. It is governed by the Transfer of Property Act 1882 for leases and, in most states, by a state Rent Control Act that limits eviction grounds and, in some cases, rent revision for older tenancies.

It is not a leave and licence. In a licence, the occupier gets permission to use the property without an interest in it; in a lease, the occupier gets an interest in the property for the term. The legal consequences differ sharply on eviction, on the notice required, and on stamp duty. Calling a document an "11-month licence agreement" does not convert a lease into a licence if the terms actually transfer exclusive possession — the courts look at substance, not the title.

The rent agreement format in India, clause by clause

Parties, property and term

Identify the landlord and the tenant with full names, parentage and addresses, and identify the property by its full municipal address, floor, carpet area, and the parking or storage space allotted. State the term in months, the start date and the end date. An eleven-month term is popular because registration is optional for short leases in many states and because it avoids the security of tenure that longer tenancies can attract under some Rent Control statutes — but check your state's rule, since several states have removed or diluted that distinction.

Rent, escalation and payment mechanics

Fix the monthly rent in figures and words, the due date, the mode of payment and the account to which it is to be paid. Add an escalation clause if the term is longer than a year — commonly a fixed percentage increase at each anniversary — and say whether the increase applies to rent only or also to the deposit. Name the person who will issue the receipt and require a written receipt for every payment, including payments by bank transfer. A tenant who pays cash without receipts has no proof of payment when the landlord claims arrears.

Security deposit and its return

State the deposit amount, whether it is interest-bearing (usually not), and the exact circumstances in which it may be deducted. A well-drafted clause lists the permitted deductions — unpaid rent, unpaid utility bills in the landlord's name, and the cost of repairing damage beyond normal wear and tear, supported by bills — and fixes a period, typically fifteen to thirty days after vacant possession and joint inspection, within which the balance must be refunded. Without this clause, deposit disputes become entirely discretionary.

Maintenance, utilities and taxes

Say who pays society maintenance, property tax, water charges and electricity. The usual arrangement is that the landlord pays property tax and society maintenance and the tenant pays electricity and water on actual consumption, but the split varies. Specify the position on major repairs and structural work, which should remain the landlord's obligation, and on minor repairs and replacements such as tap washers, geyser elements and light fittings, which are commonly the tenant's. Attach the latest society maintenance bill so the amount is known rather than estimated.

Notice, expiry and holding over

Fix the notice period on both sides — one month is standard, two months is not unusual for larger properties — and state whether notice must be in writing. Address what happens at expiry: whether the tenancy renews automatically, whether a fresh agreement must be executed, and what the rent is if the tenant stays on without renewal. A holding-over clause that fixes the monthly compensation at, say, twice the rent for each month of unauthorised occupation is the single most effective protection a landlord can write in.

Stamp duty and registration position

Stamp duty on a rent agreement is a state subject, and both the rate and the method of calculation differ. Most states charge stamp duty on the total rent for the term plus the deposit, or on an aggregate of the annual rent, at a rate fixed by the state stamp schedule. Maharashtra, for example, has a defined rate for licence agreements up to a year with an additional registration fee, while other states charge a percentage of the total consideration.

Registration is compulsory for a lease of immovable property from year to year or for a term exceeding one year, or where a fine or premium is paid, under the Registration Act 1908. An eleven-month agreement with no premium falls outside that requirement in most states and can be notarised instead. But an unregistered long lease is not automatically void — it is inadmissible as evidence of the lease itself — and it can still be used to prove collateral facts such as the relationship of landlord and tenant or the payment of rent.

Two practical points. First, an agreement on insufficiently stamped paper is not a nullity, but it will be impounded and the deficit recovered with penalty if produced in court. Second, registration protects both sides: a registered document is notice to the world and prevents a later sale or mortgage from quietly extinguishing the tenancy. If the term exceeds a year, register it.

Key takeaway: The stamp duty and registration are cheap compared to a tenancy dispute. Before signing, confirm your state's stamp schedule, who bears the cost — usually shared or borne by the tenant in practice — and whether registration is compulsory for your term.

The inventory and the joint inspection

The most litigated question in a tenancy is not the rent but the condition of the property. A clause requiring a joint inspection and a signed inventory at handover, with photographs of each room and a note of existing damage, ends most arguments. Do the same inspection within seven days of the tenant vacating and put the findings in writing, signed by both sides, with the deduction statement. If the tenant refuses to sign, note the refusal in the inspection report and send it by registered post or email within the deposit refund period.

Photographs taken on the day of handover should be dated. A mobile phone timestamp plus the signed inventory is usually enough; an independent valuation report is rarely needed for a residential flat but may be worth it for a furnished property with expensive fittings.

Signing formalities and what to keep

Sign each page of the agreement, not just the last. Have two witnesses sign and give their addresses. Where the tenant is a company or a firm, take the board resolution or the authority letter of the signatory, and stamp the agreement with the company seal. Keep the original with the landlord, give a certified copy to the tenant, and retain a scanned copy. If the document is registered, keep the registered copy and the receipt for the registration fee.

Attach these documents to every agreement. They settle most later disputes without a lawyer, because they fix the numbers and the identities that a dispute turns on.

  • The inventory signed by both sides, with dated photographs of each room.
  • The latest society maintenance bill, so the amount the tenant must reimburse is known and not estimated.
  • The electricity bill showing the connection number and the meter number, so the connection can be traced if the tenant defaults.
  • The property tax receipt for the current year, which establishes the owner's assessment number and the property's correct description.
  • Identity and address proof of both parties, with the tenant's employment or previous-landlord reference for a new tenancy.

Set a calendar reminder for the expiry date minus the notice period. The most expensive tenancy mistake is a term that ends while both sides are travelling, leaving the tenant in occupation without a written renewal and the landlord without a clear rent or notice position.

Frequently asked questions

Is an eleven-month rent agreement valid without registration?

In most states, yes. A lease for less than a year without a premium does not require registration under the Registration Act 1908 and can be notarised. Confirm your state's rule, because some states have specific requirements for tenancies and a few require registration for all tenancies beyond a threshold term.

Who pays the stamp duty, landlord or tenant?

The law places the burden on the person executing the instrument, which in practice means the parties may agree who bears it. Most commonly the cost is shared or borne by the tenant, and the agreement should record the arrangement to avoid a dispute at the end of the term.

Can the landlord increase rent mid-term?

Only if the agreement allows it. A fixed rent for a fixed term cannot be raised unilaterally. If you want an annual increase, write it in the agreement as a stated percentage effective on a stated date. For tenancies covered by a Rent Control Act, the statute may also cap revision.

What if the tenant refuses to vacate after expiry?

Serve a written notice terminating the tenancy as per the agreement's notice clause. If the tenant still does not vacate, the remedy is a suit for possession and recovery of mesne profits before the civil court, or the route available under your state's Rent Act. Self-help — changing the locks or removing belongings — is illegal and exposes the landlord to a criminal complaint.

Does the agreement need to be on stamp paper purchased in the tenant's name?

Practice varies. Many registries expect the stamp paper to be in the name of one of the executants, and a mismatch is a common cause of rejection at the registration counter. Buy the stamp paper in the name of the person who will sign first and confirm the practice at your local sub-registrar's office.
