What is an Employment Agreement & Offer Letter?

An offer letter and an employment agreement (also called an appointment letter or terms of employment) together formalise the relationship between an employer and an employee in India. The offer letter communicates the terms of a proposed job — designation, compensation, joining date and conditions — while the employment agreement is the comprehensive, binding contract that governs the working relationship once the candidate accepts.

Indian employment relationships sit within a complex framework of central and state laws, including the Industrial Disputes Act, 1947, the payment of Wages Act, the Minimum Wages Act, the Factories Act and state-specific Shops and Establishments Acts, now consolidated in part by the new Labour Codes. A properly drafted agreement is essential not only to set expectations but to protect the employer from disputes, misuse of confidential information and competition from ex-employees.

Key Clauses & What's Included

  • Designation, Role and Reporting — clear job title, department, reporting manager and broad responsibilities that reflect the real role.
  • Compensation Structure — a breakdown of basic salary, allowances, employer and employee provident fund (EPF) and ESIC contributions, and performance-linked incentives.
  • Confirmation / Probation Terms — probation period, confirmation criteria, and consequences of not being confirmed.
  • Confidentiality and Data Protection — obligations not to disclose client data, trade secrets or internal records, aligned with the IT Act and client contracts.
  • Non-Compete and Non-Solicitation — post-employment restrictions, carefully drafted because Indian courts generally hold that broad non-competes during, and sometimes after, employment must be reasonable; solicitation of clients or colleagues is usually enforceable in limited form.
  • IP and Inventions Assignment — assignment of work product, source code and inventions created during employment to the company.
  • Notice Period and Garden Leave — the required notice for resignation or termination, and whether the employee may be placed on garden leave.
  • Termination Grounds — misconduct, poor performance and redundancy, framed to comply with the Industrial Disputes Act for protected categories of workers.
  • Exit and Full & Final Settlement — payment of dues, release of PF, notice pay and the settlement timeline on separation.
  • Governing Law and Jurisdiction — applicable courts and reference to the company's HR policies.

Who Needs This & When to Use

Every company that hires a full-time employee should have a signed offer letter and employment agreement in place before the candidate joins. This includes startups hiring their first few employees, established companies onboarding senior managers and executives, IT and software companies whose employees handle client source code, and any employer who needs to protect confidential information and intellectual property. The documents are equally important when converting a contractor to an employee, promoting an employee, or managing a key-person whose exit could harm the business.

If an employee will work from home or freelance, a consultancy agreement is more appropriate than an employment contract — see our Consultancy & Freelancer Agreement service.

How We Draft It & Process

We begin by understanding your company's structure, headcount, industry and the specific role. We collect details of your compensation policy, any existing HR manual, and the exact duties of the role so that the agreement reflects practice, not boilerplate. We also advise on whether the role should be contractual or a consultancy arrangement under your circumstances.

We then prepare the offer letter and employment agreement as a cohesive set, review them against the labour law requirements of the state(s) where your employees work, and deliver editable drafts with a summary of key obligations. If you have a specific dispute or an employee requesting changes, our lawyers negotiate the redlines on your behalf. The process is transparent, fixed-fee and typically completed within a few working days.

FAQ

Q1. Is an offer letter legally binding in India?
An offer letter creates a binding contract once it is accepted by the candidate, with conditions such as a medical check or background verification usually stated as prerequisites to joining. While an accepted offer may be enforceable, most disputes are better avoided by also executing a comprehensive employment agreement before the joining date.

Q2. Can an employer stop an employee from joining a competitor?
Indian courts, including the Supreme Court, have held that covenants restraining a former employee from taking up employment after leaving are generally void as restraints of trade under Section 27 of the Indian Contract Act. A narrowly drafted non-solicitation clause and confidentiality obligations are enforceable; a blanket post-employment non-compete is usually not. We draft restrictions that survive legal scrutiny.

Q3. What is the notice period and what happens if the employee leaves early?
The notice period is fixed by the contract, typically 15 to 90 days depending on seniority and role. If an employee leaves without serving notice, the employer may deduct payments due and (where contractually provided) recover a notice-period buy-out, provided the clause is not penal in nature. State Shops and Establishments rules and the applicable service rules also affect what deductions are permissible.
