What is a Shareholders Agreement (SHA) & Share Purchase Agreement (SPA)?

A Shareholders' Agreement (SHA) is a contract among the shareholders of a company (and the company itself where joined) that governs how shareholders exercise rights that the Companies Act and the articles do not fully address — such as board composition, veto rights, restrictions on selling shares, vesting and exit rights. A Share Purchase Agreement (SPA) is the transaction document by which one party agrees to buy shares from another, containing the price, conditions precedent, warranties and indemnities of a completed acquisition.

Both are central to negotiated corporate deals in India and are read with the Companies Act, 2013, the Securities Contracts (Regulation) Act and the Company Law (Amendment) rules, as well as stamp duty and registration under the relevant state Stamp Act. In deals with outside investors, the SHA is typically the key negotiated document, alongside the company's term sheet, voting agreements and the SPA where shares are directly acquired.

Key Clauses & What's Included

  • Board Composition and Appointment — the right of each party to nominate directors, board size and quorum, and the process for appointing and removing director nominees.
  • Reserved Matters / Veto Rights — the list of corporate decisions (issuing new shares, borrowing, selling assets, changing the business, entering large contracts) that require the consent of particular shareholders or their board nominees.
  • Transfer Restrictions — obligations on selling shares, rights of first refusal (ROFR), rights of first offer, tag-along and drag-along rights, and the process and pricing of permitted transfers.
  • Pre-emption and Anti-Dilution — rights to participate in new issuances to maintain percentage holding, and protection against dilution on down-rounds, commonly through a weighted-average or full-ratchet mechanism.
  • Vesting and Lock-in — founder share vesting, and any lock-in agreed with investors or required by the Companies Act Rules.
  • IPO and Exit Rights — obligations and conditions around an initial public offering, and put/call options that allow an investor to exit after a defined period at an agreed valuation.
  • Information Rights — shareholder access to financials, business plans and management information, and management confidentiality obligations.
  • Non-Compete and Non-Solicit — restrictions on founders competing with the company after exit, drafted in accordance with Section 27 of the Contract Act and negotiated market norms.
  • Reps, Warranties and Indemnities (in a SPA) — statements about the company's shares, financials, litigation, title, tax and IP, with indemnity for their breach and any negotiated caps and limitations.
  • Conditions Precedent, Completion and Closing (in a SPA) — the approvals and steps that must happen before purchase price is paid and shares transferred.
  • Dispute Resolution — arbitration (often seated in Mumbai, Delhi, Bangalore or Singapore), governing law and jurisdiction.

Who Needs This & When to Use

An SHA should be in place whenever the ownership and governance of a company involve multiple shareholders with different interests — founder groups, angel investors, venture capital funds, or joint-venture partners holding minority stakes. A SPA is used when a transfer of shares is actually being negotiated, such as an investor acquiring a stake, a strategic buyer acquiring the company, an acquisition of a startup or unlisted company, or a founder selling their stake.

Getting both right is critical because a poorly drafted SHA can leave the founder losing control over the company, while a loose SPA can expose a buyer to unknown liabilities or a seller to post-closing claims. This is the most technical of our corporate drafting services.

How We Draft It & Process

We begin with a thorough briefing: the company's capital structure, the parties, the terms sheet or term sheet, each side's commercial objectives, and any existing SHA, articles or board resolution. We clarify who is buying, what rights each party wants, and the valuations and exit plan, because these determine the drafting.

Our lawyers then prepare the SHA, the SPA, and supporting documents such as board resolutions, share transfer forms and escrow or payment mechanics, coordinated with the company's constitutional documents. We issue a fixed-fee quote before drafting, explain each negotiated term in plain English, and manage the redline negotiation with the investor or buyer's counsel. We also advise on stamp duty, filings under the Companies Act and registration so the transaction is enforceable and correctly recorded.

FAQ

Q1. What are drag-along and tag-along rights?
A drag-along right lets a majority shareholder force minority shareholders to sell their shares on substantially the same terms when the majority sells to a third party, so a buyer can acquire 100%. A tag-along right lets a minority shareholder join (or 'tag along') when the majority sells, so they can exit on the same terms. Both need careful drafting, particularly around price, timing and exceptions, and both are expected in most venture deals.

Q2. Why would a buyer ask for warranties and indemnities?
Warranties are statements of fact the seller makes about the company — that shares are unencumbered, financials are accurate, there is no material undisclosed litigation, and IP is owned. If a warranty turns out to be false, the indemnity gives the buyer a claim against the seller for the loss. Together they shift the risk of unknown past liabilities from buyer to seller, priced into the deal.

Q3. Is a Shareholders Agreement enough by itself?
No — the SHA must be read with the company's Articles of Association. Indian courts have held that an SHA binds the shareholders but the articles govern the company's internal management; so to be fully effective, the key terms of the SHA (particularly board and veto rights) are often mirrored or supported in the articles. We coordinate the two so nothing is left to ambiguity.
