What is a Sale Agreement / Agreement for Sale of Property?
An Agreement for Sale is a written contract in which a seller promises to transfer ownership of immovable property to a buyer on agreed terms, for an agreed price. Under Section 54 of the Transfer of Property Act, 1882, a sale is the transfer of ownership in exchange for a price, while an agreement for sale merely creates a right to obtain that transfer later; by itself it does not transfer title. It is the first, and often the most legally risky, step in buying or selling land, a house or a flat. A clear agreement fixes the price, the payment schedule, the responsibility for taxes and stamp duty, and the date on which possession and title will be delivered.
Key Clauses / What's Included
- Parties, Property and Title Recital: Full identification of buyer and seller, a complete description of the property, its boundaries and the documents showing clear title.
- Sale Price, Token and Payment Schedule: The total consideration, the earnest money / token paid now, the dates of balance payments and the penalties for delay by either side.
- Possession and Handover: The date and manner of handing over possession, and any agreement to hand over possession before the sale deed is executed.
- Stamp Duty, Registration and Taxes: Who bears stamp duty, registration charges, capital gains and other taxes on the transaction.
- Title Guarantee and Encumbrances: The seller's warranty that title is clear and encumbrance-free, and the buyer's right to demand clear title documents.
- Default and Termination: Each side's rights and forfeiture of earnest money if the transaction fails, with remedies for delay or breach.
- Execution of Sale Deed: The obligation to execute and register the final sale deed on a fixed date, and what happens if either party fails to perform.
Who Needs This / When to Use
Anyone buying or selling a residential flat, house, plot or commercial unit should have a written Agreement for Sale before paying substantial money, and before the final Sale Deed is registered. It is essential for builder-buyer transactions under the Real Estate (Regulation and Development) Act, 2016 (RERA), for resale properties, and whenever a down payment or token of good faith changes hands. The agreement protects the buyer by securing the seller's promise and protects the seller by fixing the buyer's payment obligations.
It is also the right tool when a transaction will take time to complete, such as when the buyer is arranging a home loan, when the property is subject to an ongoing mortgage that must be cleared before transfer, or when the parties want time to complete title due diligence. In each of these cases the Agreement for Sale records the agreed path so that delay does not turn into dispute.
How We Draft It
We draft Agreements for Sale from a buyer-fair and seller-fair template built around the Transfer of Property Act and RERA. You provide the property details, the price, the payment and possession schedule and the title documents, and our legal team produces an agreement that protects your money and your position. We highlight the difference between an agreement to sell and a sale deed, explain when possession can be handed over, and flag the stamp duty and registration requirements so the transaction closes without dispute.
FAQ
What is the difference between an Agreement for Sale and a Sale Deed?
An Agreement for Sale is a promise to transfer title in the future and does not itself transfer ownership (Section 54, Transfer of Property Act). A Sale Deed is the document of sale that actually transfers ownership and must be registered under the Registration Act, 1908 and duly stamped. Normally the agreement comes first and the sale deed follows at registration.
Is earnest money forfeited if the buyer backs out?
Generally, if the buyer fails to complete the purchase without the seller's fault, the seller may forfeit the earnest money as damages. The exact consequence depends on the agreement and on the facts, so our draft makes the forfeiture and refund conditions explicit rather than leaving them to assumption.
Why is the property title check necessary before signing?
Because an agreement for sale does not transfer title, the buyer must be sure the seller actually owns the property and that it has no encumbrance, mortgage or litigation before paying money. Our documentation support helps verify title so you do not pay against a defective ownership claim.
